Terms of Service
The terms that apply when your company uses Ipcosys.
These terms apply to the Ipcosys website and to the Ipcosys procure-to-pay service. By signing up or using a workspace, your company agrees to them. A signed order form or agreement, where there is one, takes priority over these terms.
1. The service
Ipcosys provides software for purchase requests, approvals, vendor onboarding, three-way matching, spend analytics and payment scheduling. Ipcosys prepares and approves payment runs for export. It does not hold funds or make payments on your behalf.
2. Accounts and roles
- Your company is responsible for who it invites and what roles they hold.
- Login credentials are personal and must not be shared.
- Tell us promptly if you believe an account has been misused.
3. Your rules and decisions
Approval thresholds, matching tolerances and routing rules are set by your company. Ipcosys applies them as configured. The AI reads documents and identifies differences, but decisions to approve, accept a variance or release a payment are made by your users, and your company remains responsible for them.
4. Your data
Your company owns the data it puts into Ipcosys. We use it only to provide and support the service, as set out in the Privacy Policy. You can export your data at any time during the subscription and for a limited period after it ends.
5. Acceptable use
- Do not use the service for unlawful purposes or to process data you have no right to process.
- Do not attempt to access other workspaces, test the service for vulnerabilities without permission, or disrupt it.
- Do not upload malicious files.
6. Plans and fees
Starter and Growth plans are charged at the monthly price shown on the pricing page, with applicable taxes added. Enterprise fees are set out in your quote or order form. If usage stays above your plan, we will agree a move to the right plan with you.
7. Availability and support
We work to keep the service available and to give notice of planned maintenance. Support is provided by email on working days, and as set out in your plan.
8. Confidentiality
Each party keeps the other's confidential information private and uses it only for the purpose of the service. Vendor prices, bank details and payment data in your workspace are treated as your confidential information.
9. Liability
The service is provided with reasonable skill and care. To the extent the law allows, neither party is liable for indirect or consequential loss, and total liability in any year is limited to the fees paid for the service in the twelve months before the claim.
10. Ending the service
Either party may end the subscription at the end of a term with notice, or earlier if the other party materially breaches these terms and does not fix the breach within a reasonable time. On ending, access stops and your data remains available for export for a limited period before deletion.
11. Changes and governing law
We may update these terms and will post the new version here. These terms are governed by the laws of India. Questions about these terms can be sent through the contact page.
